These Terms and Conditions (“Terms”) govern your access to and use of https://campostools.com (the “Site”) and any related services, content, and purchases offered by Campos Tools (“Campos Tools”, “we”, “us”, or “our”). By accessing the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site.

2) Eligibility and Account Responsibilities

• You represent that you are legally able to enter into a binding contract in your jurisdiction.

• You agree to provide accurate, current information and to update it as needed.

3) Orders, Acceptance, and Cancellations

• Placing an order is an offer to purchase. We may accept or decline any order in our sole discretion.
• We may cancel or limit quantities, including after an order is placed, due to stock availability, pricing errors, suspected fraud, or other reasons.
• If we cancel an order after payment, we will issue a refund to the original payment method (subject to bank processing times).

4) Pricing, Taxes, and Payment

• Prices are shown in USD (U.S. Dollars) unless stated otherwise and may change without notice.
• Taxes, duties, customs fees, and similar charges may apply based on shipping destination and are your responsibility unless we explicitly state otherwise.
• If a product is listed at an incorrect price due to an error, we may cancel the order or contact you for instructions.

5) Shipping, Delivery, and Risk of Loss

• Shipping options, costs, and estimated delivery times are shown at checkout and may vary by location and carrier.
• Delivery dates are estimates and not guaranteed.
• Title to products and risk of loss transfer to you upon our delivery to the carrier, to the maximum extent permitted by law (unless your local law requires otherwise).

6) Returns, Refunds, and Exchanges

7) Product Information and Availability

• We try to display product details accurately, but we do not guarantee descriptions, images, specifications, or availability are error-free.

• Campos Tools names, logos, and related marks are trademarks of Campos Tools. Other trademarks belong to their respective owners.

9) User Submissions (Non-Confidential)

If you submit reviews, feedback, questions, or other content (“Submissions”), you agree that:

• Your Submissions are not confidential and may be used by us to operate, improve, and market our business.
• You grant Campos Tools a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, publish, translate, modify, and display your Submissions in any media.
• You represent you have the rights needed to submit the content and that it does not infringe others’ rights.

10) Prohibited Use

You agree not to:

• Use the Site for unlawful purposes or in violation of applicable laws or regulations.
• Attempt to gain unauthorized access to accounts, systems, or data.
• Introduce malware, scrape the Site, or interfere with Site functionality.
• Misrepresent your identity, affiliation, or payment/shipping information.

12) Disclaimer of Warranties

To the maximum extent permitted by law, the Site and Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Campos Tools does not guarantee the Site will be uninterrupted, secure, or error-free.

13) Limitation of Liability

To the maximum extent permitted by law, Campos Tools and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site or products purchased through the Site.

To the maximum extent permitted by law, Campos Tools’s total liability for any claim arising out of or related to the Site or these Terms will not exceed the amount you paid to Campos Tools for the specific order giving rise to the claim (or, if no purchase was made, USD $100).

14) Indemnification

You agree to defend, indemnify, and hold harmless Campos Tools and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or your misuse of the Site.

15) Suspension and Termination

Campos Tools may suspend or terminate access to the Site or your account at any time if we believe you have violated these Terms or used the Site unlawfully.

16) Governing Law

To the maximum extent permitted by applicable law, these Terms and any dispute, claim, or controversy arising out of or relating to the Site, products, services, or these Terms will be governed by the laws of the State of Florida, U.S.A., and applicable U.S. federal law, without regard to conflict-of-law rules.

If you reside outside the United States, nothing in these Terms is intended to exclude or limit any rights you may have under mandatory consumer protection laws in your country of residence.

17) Dispute Resolution

17.1 Informal Resolution First. Before starting arbitration or a court proceeding, you agree to contact Campos Tools at [email protected] and provide a brief written description of the dispute and the relief you are seeking. The parties will attempt to resolve the dispute informally for at least thirty (30) days.

17.2 Binding Arbitration (International / Cross-Border). If the dispute is not resolved informally, and to the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to the Site, products, services, or these Terms will be finally resolved by binding arbitration administered by the International Centre for Dispute Resolution (ICDR) of the American Arbitration Association in accordance with its International Arbitration Rules.

• Seat / Legal place of arbitration: Miami, Florida, U.S.A.
• Arbitrator: One (1) arbitrator, unless the parties agree otherwise.
• Language: English, or Spanish if both parties agree.
• Format: The arbitration may be conducted remotely (e.g., video/teleconference) when appropriate.

17.3 No Class Actions / Class Arbitration. To the maximum extent permitted by law, disputes will be brought only on an individual basis. You and Campos Tools waive any right to have disputes resolved as a class, collective, or representative action, and the arbitrator may not consolidate claims or preside over any class, collective, or representative proceeding.

17.4 Small Claims; Injunctive Relief. Either party may bring an individual claim in a small-claims court (or equivalent) if it qualifies. Either party may also seek temporary or injunctive relief in a court of competent jurisdiction to protect its intellectual property, confidential information, or to prevent unauthorized use of the Site, without waiving arbitration for the remaining claims.

17.5 Court Venue When Arbitration Is Not Permitted. If a court determines that arbitration is not enforceable for a particular claim (for example, due to mandatory local law), then that claim will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, U.S.A., and you consent to personal jurisdiction and venue in those courts.

18) Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. These Terms, together with the Privacy Policy and any posted policies (e.g., Return Policy), constitute the entire agreement between you and Campos Tools regarding the Site.
